Happy also worked as a teaching assistant in constitutional law and interpretation of statutes at the University of South Africa

Major Clients & Matters:
  • Advising Deutsche Bank on the rules and regulations for commercial lending licensing in all of the American States
  • Advising the National Treasury, Public Private Partnership Unit (PPP Unit) on the commercialisation of Diepwalle Forest Estate, advising on the legal structure and preparing and advising on a concession contract
  • Advising the Kruger National Park on the Wilderness Company on the registration of the company and the change of the main purpose and object to that of eco tourism and walking trail operators
  • Advised on various immigration matters including obtaining an H-1B for clients desiring to work in the United States; application for permanent residence for a special immigrant (refugee) juvenile from Ethiopia
  • Advised the Lesotho Highlands Development Authority in an arbitration regarding the payment of interest on additional costs accrued during the construction of the Highlands Water Development Project whether interest payable is simple or compound interest where the construction contract is silent
  • Advising American International Group (AIG) Financial Products in the following transactions:
  1. purchase and lease of aircraft by Cathay Pacific Airways Limited;
  2. purchase and lease of aircraft by Swiss Air;
  3. purchase and lease of aircraft by Sabena Airlines; and
  4. purchase and lease of a waste facility by the City of Konstanz a municipality organised under the Laws of Germany
  • Advised the South African subsidiary of ABB, the Swiss electrical engineering group, in connection with the US$225 million sale of its air handling business to Global Air Movement (Luxembourg) SARL, advised on the South African Reserve Bank approvals required for a sale of shares to a non resident (foreign) entity and necessary endorsements on share certificates
  • Advising Deutsche Bank on the possible disposal of its Trust business in New York, California and London
  • Representing and advising Singapore Airlines Terminal Services in its bid for the privatisation and acquisition of a partially state owned airport catering company, conducting a due diligence investigation and advising on the proposed transactional agreements
  • Advising a consortium led by Investec Private Equity seeking to acquire the chlorine manufacturing division of Sentrachem as a going concern, conducting a due diligence investigation
  • Advised Kimberley Clark on South African property leases
  • Advised Akzo Nobel in its supply and management of the spectra photometer and quality control software to Paarl Labels Self Adhesive Printers
  • Advising Abbott Laboratories on its exclusive distribution agreement with International Health Distributors and its shareholding in it
  • Advising the Department of Health of Kwa Zulu Natal Province in its public private partnership project for the provision of medical equipment, information management and technology equipment and systems, and facilities management services for a new central hospital in Durban
  • Advising the South African National Parks in the granting of concessions for the operation of private camps and the outsourcing of shops and restaurants in various national parks
  • Advising Investec on the implications of the Promotion of Access to the Administrative Justice Act, advising on the constitutional protections available to a Lender of a casino Licensee
  • Advising the Centre for Public Service Innovation on improving and enhancing an efficient public service, advising on employment of consultants with skills, knowledge and experience in various fields
  • Advising a South African not for profit association on obtaining a federal tax exemption under the United States Internal Revenue Code (statute)
  • Advised the Department of Agriculture, Conservation, Environment and Land Affairs (Gauteng) on exemptions under the South African Taxation Laws for not for profit associations.
