ABOUT

Tristan Meyer is a Senior Associate practising in the commercial areas of Corporate Mergers & Acquisitions, Private Equity and Banking & Finance. He specialises in mergers and acquisitions; private equity; commercial finance; joint ventures; corporate structuring, restructuring and reorganisation; takeovers and general commercial transactions. Tristan also advises on the sale of businesses as going concerns; sale of share transactions; sale of assets transactions; sale of property transactions; and the drafting of various commercial agreements. Tristan furthermore advises on various aspects of data privacy, including the Protection of Personal Information Act 4 of 2013 and other areas of regulatory law such as consumer protection. He obtained his BSocSci and LLB degrees from the University of Cape Town, where he was on the Dean’s Merit List.

  • Drafting, reviewing and advising on both domestic and cross-border commercial agreements, funding agreements, and security agreements in a range of different sectors including manufacturing, energy, fintech, retail, food and real estate.
  • Internal structuring, restructuring and incorporation of various types of entities.
  • Conducting due diligences (both buyer and vendor due diligences; domestic and cross-border) involving the review of various commercial documents governed by the laws of a number of jurisdictions (from a commercial or South African law perspective).
  • General corporate advisory and company secretarial work.
  • Advising on regulatory law such as data privacy law and consumer protection. 

As part of a team:

  • Acted for the shareholders of a South African fishing company in the disposal of their equity to a listed entity in a category 2 transaction in terms of the JSE Listing Requirements;
  • Acted as local counsel for a large multinational energy and commodities entity in a commercial due diligence which preceded its acquisition of a controlling stake in a large, public South African energy company;
  • Acted for various private equity investors and consortiums in management buy-outs and buy-ins in the various sectors (incl. manufacturing and technology);
  • Acted for a consortium in their disposal to a listed multinational entity of a food ingredient spray-drying business;
  • Acted for one of the major South African banks and a consortium of private equity investors in a commercial funding and private equity transaction involving an energy company specializing in solar-as-a-service;
  • Acted for the sellers in the disposal of shares in a company which conducts the business of a wine farm in Stellenbosch;
  • Advised the majority shareholder of an LPG / energy company (under business rescue) in the disposal of its controlling stake to a state-owned enterprise that manages South Africa's strategic crude oil stockpile;
  • Acted for a commercial real estate company in the acquisition of 100% of the equity in a company which owns and operates a mall / shopping centre;
  • Acted for a commercial real estate company in a host of corporate internal restructurings and and reorganisations;
  • Acted for one of the major South African banks in advancing commercial funding to a medical cannabis company in the SADC region; and
  • Acted for several major South African banks in various commercial funding transactions.
