Pierre le Roux is a Director in the Corporate Mergers & Acquisitions, Disputes and Private Equity practice areas. He specialises in mergers & acquisitions in South Africa; structured loans and security; commercial property; agricultural commercial transactions; and black economic empowerment transactions. Pierre also has deep experience in corporate finance and structuring; corporate governance; listings/flotations; leveraged and management buy-outs; private equity; public offerings and private placements; and general commercial transactions. He is highly skilled in commercial transactions in a number of sectors – especially retail; short term insurance, food production; tourism; short term insurance; and agriculture – as well as large property transactions and the financing thereof.

  • Acted for the most prominent retailers in the RSA namely Pep Group and Shoprite Group since mid 1990's in numerous commercial transactions. Those transactions covered most parts of the businesses of those groups such as corporate financing, JSE, BEE restructuring, property and lease transactions, IT transactions, acquisitions, disposals, supply agreements, insurance agreements, cell phone agreements, etc. Some examples of those transactions are:
    • the sale of The Building Company Proprietary Limited to Cashbuild Management Services Proprietary Limited
    • the recent sale of the John Craig retail business
    • the acquisition of the PPC Clothing Company
    • the acquisition of Bradian; and
    • the acquisition of Shoe City
  • Advised Shoprite in respect of the acquisition of a retail group (identity of group confidential since not completed)
  • Advised Shoprite in respect of the sale of their DCs and lease-backs
  • Advised Shoprite in respect of its BEE Transaction during 2022
  • Advised Pepkor Holdings Limited in its disposal of its 100% equity stake in The Building Company Proprietary Limited (TBCo) to Capitalworks Private Equity and selected members of TBCo management for a purchase price of R1,2 billion.
