Bafana Ntuli is a Senior Associate in the Corporate Mergers & Acquisitions practice area. He specialises in mergers and acquisitions; private equity, negotiating and drafting a wide variety of commercial contracts, black economic empowerment structuring transactions, corporate governance, trusts and trust administration, and due diligence investigations.

Advised and formed part of the team that acted as legal counsel for:

  • Southern Palace Group of Companies Proprietary Limited in relation to the acquisition of 100% of the issued share capital of Genrec Engineering Proprietary Limited from Murray & Roberts Limited for a consideration of approximately R185 million
  • Investec Property Fund Limited (i) in relation to the sale of a portfolio of its properties to the Entrepreneurship Development Trust, and (ii) to establish Izandla Property Fund Proprietary Limited (a joint venture with 65% being held by the Entrepreneurship Development Trust and 35% being held by the Investec Property Fund)
  • Firefly Investments 319 Proprietary Limited (led by Southern Palace Group of Companies Proprietary Limited and the Public Investment Corporation SOC Limited) in relation to the acquisition of the Murray & Roberts Infrastructure & Building Platform business from Concor Proprietary Limited (an indirect wholly owned subsidiary of Murray & Roberts Holdings Limited) for a consideration of R3.14 million
  • Phembani Group Proprietary limited in relation to the merger of Phembani and various entities controlled by Shanduka Group Proprietary Limited forming one of the largest black owned company with a collective net asset value in excess of R10 billion
  • Wirecard AG in relation to the acquisition of Amara Technology (Africa) Proprietary Limited
